Terms of Business and Conditions of Sale

1. In these conditions TEMPLEPAN SECURITY SYSTEMS is referred to as the ‘company’ and any company, person or firm dealing with the company is referred to as ‘the customer’. Any reference to conditions shall be deemed to be a reference to these conditions together with the specification, if applicable.
These conditions shall be the sole terms (other than those implied by statute) governing the agreement and no representation or warranty shall bind the company, nor any statement made by or on behalf of the company shall vary the conditions unless the representation warranty or statement is in writing and signed by an officer of the company. Any conditions of business of the customer shall not form part of this agreement unless expressly accepted in writing by an officer of the company. The signature of the customer on the reverse of these conditions is deemed to be acceptance of these conditions and confirmation that these conditions prevail over any conditions of business of the customer.
Quotations are provided by the company for guidance only and no contract shall exist between the parties until such time as the customer’s order is accepted by the company by the signature overleaf of a duly authorised signatory of the company.
The price of the goods and services supplied by the company shall be those ruling at the time of acceptance of the customer’s order. The company reserves the right to pass on any price increase of the goods imposed by the company’s supplier and if this right is exercised the customer shall pay such increase. The company will notify the customer if there is a price rise greater than 10% of that originally quoted. Any agreement to maintain prices for a specified period shall not be binding upon the company unless made in writing by an officer of the company.
The contract price and payment terms will be stated on the quotation.
The customer agrees that throughout the period of installation and throughout the period of maintenance of the system the customer shall afford to the company its servants and agents full and free access to the premises at all reasonable times to enable the company to perform its responsibilities hereunder and the company shall be paid additional travelling and labour costs arising out of the customers failure to honour this condition. The normal hours of installation shall be from 9am to 5pm.
The customer shall notify the company within 14 days of installation of any damage or defects in the goods. The customer shall be deemed to have accepted the goods 14 days after delivery to the customer. After acceptance the customer shall not be entitled to reject goods which are not in accordance with the contract.
In the event that the customer cancels this agreement prior to installation the company at its discretion may deduct the cost of specialist items together with a reasonable sum as an administration charge from the contract price and account to the customer with the balance provided always that any specialist item must be paid for in full. The company may pay compensation to the customer if the company cancels the contract.
Legal and equitable ownership in the goods shall remain with the company until full payment of the price is received. The company shall be entitled to sue for the price once payment has become due even though title has not passed to the customer. Risk in the goods shall pass to the customer upon delivery.
The company takes reasonable care in furnishing all or any written description, illustrations, or other particulars in whatever form, but such information is subject to alteration without notice and no warranty is given as to its accuracy nor may it be relied upon for the purpose of the customers business. Any such information provided by the company to the customer at any time shall not form part of this agreement.
The company shall not in any circumstances whatsoever be liable for any indirect and consequential losses arising out of improper use of the goods installed or supplied.
12. The company shall not be liable for the cost of any redecoration or reinstatement or for the damage to or the cost of relaying floor coverings or for any other damage arising from the installation alteration or maintenance or repair of the security system or part thereof unless it is established that it arose from the negligence of the company and that the damage was reasonably foreseeable and avoidable.
The company guarantees the labour and equipment installed for a period of 12 months from the date of the completed installation, provided always that the equipment is used for its intended purpose and in accordance with instructions provided by the company and the manufacturer of the equipment.
The company recommend that the customer keeps the system comprehensively insured against loss or damage by lightning, fire, explosion, impact flood, theft or other risks usually insured against.
The agreement, these terms of business and conditions of sale shall be governed by and construed in accordance with English Law, both the company and the customer shall submit to the jurisdiction of the English Courts.
These terms and conditions shall not affect your statutory rights as a consumer.
